The problem this solves
JPG loses a little more every time it is re-saved. Edit a JPG five times and you are looking at five generations of compression artefacts stacked on each other, which shows up first as mush around text and blotches in flat colour.

Questions
Will converting to PNG improve my image quality?
No, and be suspicious of any tool that says otherwise. The detail a JPG discarded is gone. Converting stops further loss; it does not undo the loss already there.
Does this make the background transparent?
No. It gives you a format that can hold transparency. Removing a background is an editing step, and no automatic conversion can know which pixels you consider background.
Why is the PNG so much bigger?
PNG is lossless, so it stores everything including the JPG's compression artefacts. A photograph will often be three to five times larger as a PNG.
When should I keep the JPG instead?
When it is a photograph being delivered rather than edited — a listing image, an email attachment, anything going straight to a viewer. JPG is the right format for that job.
